Enpira Terms of Use

Welcome to Enpira. Please read these Terms of Use (“Terms”) carefully before signing into or utilizing the Enpira software platform, dashboards, mobile features, and services accessible via https://enpira.io (collectively, the “Software” or “Platform”).
By clicking “Sign In,” “I Accept,” or by otherwise accessing or using the Platform, you (“Authorized User” or “you”) agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Platform.
1. Enpira Software
“Enpira Software” or “Platform” means the proprietary cloud-based energy and utility software platform produced by Enpira Inc. (“Enpira” or “Licensor”), including all features (dashboards, alerting, bill auditing, benchmarking, emissions tracking, forecasting, measurement & verification tools, and integrations), associated APIs, and any updates provided hereunder. “Licensee” means the organization (such as your employer or client) that has entered into a commercial agreement with Enpira and that has authorized you to access the Platform as an Authorized User. “Agreement” means these Terms of Use.
2. Authorized Users
As an Authorized User, you are an employee, contractor, or agent of a Licensee who has been granted permission by that Licensee to access and use the Platform solely for the Licensee’s internal business purposes. Your right to use the Platform flows from your Licensee’s agreement with Enpira, not from a separate direct contract between you and Enpira. These Terms govern your individual use of the Platform and impose obligations directly on you.
3. Licensee Responsibility
Your Licensee is responsible for authorizing your access to the Platform, ensuring you have received and reviewed these Terms, and ensuring your compliance with them. Your Licensee remains liable to Enpira for your use of the Platform. If your Licensee revokes your authorization, you must immediately cease using the Platform.
4. Authorized User Responsibility
As an Authorized User, you are responsible for:
- Choosing a strong password and updating it promptly if you suspect it has been compromised;
- Notifying Enpira immediately of any unauthorized use of your account or other known breach of security;
- Accessing and using data belonging to your Licensee consistent with your Licensee’s policies or as authorized by your Licensee.
You must use the Platform in compliance with all applicable federal, state, and local laws and regulations, including data privacy laws, computer fraud and abuse statutes, and export control laws. If your Licensee is a local government, municipality, county, school district, or other public entity, your use of the Platform may be subject to applicable public records laws and government data governance policies. You are responsible for complying with any such requirements applicable to your use.
5. Authorized User Restrictions
As an Authorized User, you shall not, directly or indirectly:
- Copy, modify, translate, adapt, or create derivative works or improvements based on the Software;
- Sell, resell, rent, lease, sublicense, assign, or transfer the Software or any rights thereto to any third party;
- Reverse engineer, disassemble, decompile, or otherwise attempt to derive source code, algorithms, or trade secrets from the Software;
- Remove, delete, alter, or obscure any proprietary notices, trademarks, or labels on or in the Software;
- Use the Software or facilitate the use of the Software for the purposes of (a) developing or providing a competing software or service; (b) benchmarking or competitive analysis of the Software against a competing product; or (c) any other purpose that is to Licensor’s detriment or commercial disadvantage;
- Use the Software in any manner or for any purpose that infringes, misappropriates or otherwise violates any intellectual property right or other right of any person or entity, or that violates any applicable law;
- Use the Software in or in connection with the design, construction, maintenance, operation or use of any hazardous environments, systems or applications, any safety response systems or other safety-critical applications, or any other use or application in which the use or failure of the Software could lead to personal injury or severe physical or property damage;
- Use the Software to process data for any entity other than Licensee without Licensor’s prior written consent;
- Attempt to gain unauthorized access to any Licensor system, infrastructure, or other client’s data; or
- Otherwise access or use the Software or Licensor materials beyond the scope of the authorization granted under this Agreement.
6. Enpira Intellectual Property Ownership
Enpira owns and retains all right, title, and interest, including all intellectual property rights, in and to the Software, Platform, and all underlying technology, algorithms, databases, and improvements thereto. No rights are granted to Authorized Users except as expressly set forth in this Agreement.
7. Disclaimer of Warranties
The Platform is provided “as is.” Licensor disclaims all other warranties, express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Licensor does not warrant that the Software will be uninterrupted, error-free, or that all defects will be corrected. Licensor is not responsible for errors originating from data provided by your Licensee or by you. Without limiting the foregoing, Licensor disclaims all representations and warranties regarding the Software, including their accuracy, currency and completeness, and all results obtained therefrom.
8. Exclusion of Consequential Damages
Except for liabilities arising out of gross negligence or willful misconduct, in no event will Licensor, its subsidiaries, or affiliates, or its or their respective directors, managers, officers, employees, contractors, agents, successors or assigns, be liable to you, your Licensee, or any third party for any lost profits, lost data, interruption of business, inaccurate data or reports, or other special, indirect, punitive, incidental, or consequential damages of any kind, whether in contract, tort (including negligence), or otherwise, arising out of or in connection with this Agreement, regardless of whether Licensor had been advised of the possibility of such damage or such losses or damages were otherwise foreseeable. Except to the extent caused by Licensor’s gross negligence or willful misconduct, Licensor has no obligation or liability for any loss, alteration, destruction, damage, corruption, error, or recovery of data provided by you or your Licensee.
9. Privacy and Cookie Policies
Your use of the Platform is also governed by our Privacy Policy and Cookie Policy, which outline how we collect, handle, protect, and utilize your personal and organizational user metadata. By accepting these Terms, you consent to the data collection and operational practices described therein.
10. Term and Termination
Licensor reserves the right, in its sole discretion and without prior notice, to suspend, limit, or terminate your access to the Platform if it believes you have violated these Terms, are engaged in actions threatening system integrity, or if the underlying commercial agreement with your Licensee expires or is terminated.
11. Updates to These Terms
Enpira may update or modify these Terms from time to time. Your continued use of the Platform after updates constitutes your acceptance of the updated Terms. If you do not agree to an update, you must stop using the Platform and notify your Licensee administrator. The current version of these Terms is always available at enpira.io/terms.
12. Governing Law and Jurisdiction
These Terms, and all claims or causes of action arising out of them, shall be governed by, interpreted, and enforced in accordance with the laws of the State of North Carolina, without regard to its conflict-of-law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in North Carolina.
